Drafting Technology Agreements
Pre-requisites: None, but prior course work in intellectual property law or other relevant experience is desirable. This course will address the fundamentals of drafting agreements for the acquisition and sale of technology products and services from both the buyer and seller perspective. Topics to be covered include: Intellectual property, technical and commercial underpinnings of the technology contract; Basic building blocks of the contract - intellectual property license terms; commercial terms; warranties; damages, liability limits and remedies; indemnity issues; service- and product-specific terms; Negotiating strategies and "lessons learned" from litigation. Drafting exercises will be assigned periodically.
