Fundamentals of Legal Drafting: Transactions

This course will cover basic principles of drafting transactional documents. The documents include those common to the purchase of an existing business, such as a term sheet and purchase agreement, as well as memoranda advising on specific issues of concern to the students? fictitious client. Students will develop skills important for junior corporate attorneys, including client interviews, negotiation of contract provisions and marking up draft agreements to reflect a client?s comments and positions. The semester will follow the timeline of a typical transaction, from meeting the client through execution of definitive documents. While there are no specific courses prerequisite to enrollment, a basic knowledge of business entities (corporations and LLCs) will be helpful.

Grading and Method of Evaluation

Letter grade only. Students are graded on a series of assignments. Satisfies the Upperclass Writing Requirement.
