Advanced Corporate and Securities Law: Business Combinations

This course will explore the law and economics of business combinations: hostile takeovers, proxy contests, leveraged buyouts, friendly mergers, state and federal regulation of acquisitions activity, and corporate governance issues. The focus will chiefly be on contract, corporate, and securities law issues and will avoid tax, antitrust, and compensation issues. The basic corporations class is a prerequisite. Securities regulation is helpful but not required.
