This course will explore and expand your understanding of the fundamental principles of contract formation, performance, and enforcement that you learned in your first year of law school as they relate to the domestic sale of goods. The course will focus on Article 2 of the Uniform Commercial Code but may touch on international transactions as well as the law of promissory notes and security instruments, as these topics often arise in commercial contexts and facilitate an appreciation for how contractual obligations differ from other types of liabilities. We will regularly contrast rules for the sale of goods with rules for land sale and service contracts, as this method of presentation will prepare you for success on the bar exam and in the practice of law. Grading/Evaluation Method: Take-home exam. 100% of a student's grade will be determined by their performance on the take-home final, which will contain both bar-style and practice-realistic problems. There will be 12 weekly assignments; I will give students detailed feedback on each. If a student exceeds the 3 permitted skips for weekly assignments, they won't be eligible to take the final.
