Inv Reg: Private Equity/Venture Capital

This course introduces students to the fundamentals of private equity (PE) and venture capital (VC) transactions. Students will engage in a critical analysis of the financial, economic, regulatory, and legal considerations of PE and VC through several case studies involving investment, divestment, and various business combinations. The case study framework will prepare students to analyze and draft deal origination documents (IOIs, LOIs, term sheets), employ due diligence best practices (VDR, DD and Issues Lists), engage in financial structuring, liaise between key actors in the capital markets (banks, private equity, and hedge funds), and assist clients in mitigating post-transaction / post-merger integration issues. Excellence in this area of practice requires not only attention to detail and analytical skill, but also an understanding of the underlying economics of the deal. To that end, this course will address many of the business topics covered in a first-year MBA curriculum (including asset valuation, market sizing, and financial statement analysis), approaching them from both legal and commercial perspectives. Prerequisite: Corporations (may be waived with professor approval) Grading: Letter grade but may be taken pass/fail. Final Exam.
