Transactional Skills for Startups

This course will introduce the student to the basics of transaction practice by analyzing various transactions facing start-up companies in depth (including between founders, with their employees and with new outside investors). The focus will be on the core legal and commercial issues lawyers face in such transactions, the drafting, issue analysis and negotiation skills needed, and some common ethical considerations that may arise. The course will be conducted by a combination of lecture, discussion, student role-play, teamwork and critical analysis. Class attendance will be crucial to the learning process and mandatory absent a medical excuse. Time will need to be devoted regularly by every student to weekly readings and out-of-class negotiation and drafting exercises. Gradng and Method of Evaluation: Letter grade with pass/fail option. Students will be assessed based on several drafting assignments, in-class exercises and class participation.
