Introduction to Transactional Skills: Doing the Deal

Prerequisite: One of the following courses; Corporations, Corporate Finance, Secured Transactions, Securities Regulation or Mergers and Acquisitions

This course will introduce the student to the basics of transaction practice by analyzing in depth three transactions, a loan, a securities offering and an acquisition. The focus will be on the core legal and commercial issues lawyers face in such transactions, the drafting and negotiation skills needed, and common ethical problems that arise. The course will be conducted by a combination of lecture, discussion, student role-play, teamwork and self-analysis. Class attendance will be critical to the learning process and required absent a medical excuse. Time will need to be devoted regularly by every student to weekly readings and out-of-class negotiation and drafting exercises.

Gradng and Method of Evaluation

Letter grade with pass/fail option. A paper is required.
